found to be outside the scope of the items identified in 2.A.1.In <br />suchmatters,the Client may request a specific quote or proposal and <br />scope of services for the identified project,the work for which would be <br />invoiced separately per the Consultant’s charge rates found in the Rate <br />Schedule. <br />For such projects,no work shall be commenced,nor compensation owed, <br />until a written approval is granted by the Client and the work is expressly <br />directed.The Consultant hereby agrees that any such work is eligible at <br />all times to be submitted for competitive bid,to the Consultant and/or <br />outside consultants,without obligation of the Client to the Consultant <br />under this Contract.The Consultant hereby agrees to not unreasonably <br />refuse any reasonable work required under the retainer,and the Client <br />hereby agrees to not unreasonably require it. <br />Services shall be rendered on an as needed basis to be determined by the <br />Client’s representative as noted herein.Any services performed under <br />this Article will be billed on a monthly basis as per Article 4.B.(Hourly <br />Rate) of this Agreement, and according to the agreed budget. <br />ARTICLE 3. SERVICES OF THE CLIENT <br />The Client hereby agrees to furnish to or make available for examination or use by the <br />Consultant, without charge, the following: <br />A.Agendas for all meetings when attendance of the Consultant is required within a <br />reasonable time to allow for review of each relevant item on the agenda. <br />B.All materials and documents applicable to all agenda items.Such material and <br />documents shall be submitted to the Consultant within a reasonable period of <br />time before any meeting at which time they are to be considered. <br />C.Material and documents,as determined by the Consultant,that are necessary for <br />the services to be performed,including meeting minutes,development <br />regulations, Comprehensive Plan documents, or other related documents. <br />ARTICLE 4. PAYMENT <br />A.Technical Planning and Development Assistance <br />The Client hereby agrees to pay the Consultant for professional services <br />included in Article 2. of this Agreement as follows:
