G -Grantee - Commerce 1 <br />STATE OF MINNESOTA <br />DRAFT GRANT CONTRACT AGREEMENT <br />This grant contract is between the State of Minnesota, acting through its Commissioner of Commerce (“State”) and <br />Organization, Address, City, State, Zip (“Grantee”). <br />Recitals <br />1.Under Minn. Stat. § 216C.02, subd. 1, the State is empowered to enter into this grant. <br />2.The State is in need of assistance in enhancing the competitiveness of Minnesota entities obtaining federal funds <br />for energy projects. <br />3.The Grantee represents that it is duly qualified and agrees to perform all services described in this grant contract <br />to the satisfaction of the State. Pursuant to Minn. Stat. § 16B.98, subd.1, the Grantee agrees to minimize <br />administrative costs as a condition of this grant. <br />Grant Contract <br />1 Term of Grant Contract <br />1.1 Effective date: Month, day, year, Per Minn. Stat. § 16B.98, subd. 5, the Grantee must not begin work until <br />this grant contract agreement is fully executed and the State’s Authorized Representative has notified the <br />Grantee that work may commence. Per, Minn. Stat. § 16B.98, subd. 7, no payments will be made to the <br />Grantee until this grant contract is fully executed. <br />1.2 Expiration date: <br /> Month, day, year, or until all obligations have been satisfactorily fulfilled, whichever occurs first. <br /> 1.3 Survival of Terms. The following clauses survive the expiration or cancellation of this grant contract: 8. <br />Liability; 9. State Audits; 10. Government Data Practices and Intellectual Property; 12. Publicity and <br />Endorsement; 13. Governing Law, Jurisdiction, and Venue; and 15. Data Disclosure. <br />2 Grantee’s Duties <br />The Grantee, who is not a state employee, will: <br />2.1 Comply with required grants management policies and procedures set forth through Minn. Stat. § 16B.97, <br />Subd. 4 (a) (1). <br />2.2 Undertake the activities proposed in the successful federal application for which this project was submitted <br />according to the Statement of Project Objectives attached and incorporated into this grant contract <br />agreement. <br />3 Time <br />The Grantee must comply with all the time requirements described in this grant contract. In the performance of <br />this grant contract, time is of the essence. <br />4 Consideration and Payment <br />4.1 Consideration. The State will encumber funds reserved for the Grantee upon award of the Federal grantor <br />and issue payment according to Clause 4.2. The amount under this grant contract as follows: <br />4.1.1 Total Obligation. The total obligation of the State for all compensation and reimbursements to the <br />Grantee under this grant contract will not exceed Words dollars($##,###.00) or Words percent <br />(ZZ.ZZ%) of the total actual, eligible cost-share match requested by the Federal grantor in the <br />performance of the Grantee’s duties specified in the attached Statement of Project Objectives. <br />4.1.2 Pursuant to Laws of Minnesota 2023, Chapter 24, sec 2, subd 6, (e), if the amount of federal funds <br />awarded to the applicant differs from the amount requested in the application to Commerce, the <br />commissioner may adjust the award made accordingly. <br />4.2 Payment <br />4.2.1 Invoices. The Grantee will submit for reimbursement to the State upon submitting an invoice with <br />the same documentation required by, and presented to the Federal grantor for payment.
