4924-5086-4762\2 <br />SUBGRANT AGREEMENT <br />This Subgrant Agreement is made and entered into by the City of St. Anthony Village <br />(Grantee) and Tibyan Community Center (TCC) (Subgrantee). <br />Whereas, the Grantee submitted a project application for Environmental Response Fund funds <br />from the Hennepin County Environment and Energy Department relating to cleanup at the <br />Tibyan Community Center project site located at 2401 Lowry Avenue NE in the City of St. <br />Anthony Village, Minnesota (the “Project,” as further described herein); <br />Whereas, the County of Hennepin, State of Minnesota, on behalf of the Hennepin County <br />Environment and Energy Department (the “County”) awarded the Grantee $136,250.00 of grant <br />funds (the “Grant Funds”), pursuant to that certain Environmental Response Fund Grant <br />Agreement between the County and the Grantee dated [___________], 20[__] (the “Grant <br />Agreement”); <br />Whereas, the Grantee is eligible to make a written request for disbursement of the grant funds; <br />Whereas, Subgrantee has made submittals to the Grantee documenting that the Remediation has <br />been completed and that it has incurred Remediation costs equal to the Grant; <br />Now Therefore, in consideration of this agreement, the parties agree as follows: <br />AGREEMENT <br />I.Definitions <br />1.01 Definition of Terms: For purposes of this agreement, the terms defined in this paragraph <br />have the meanings given them in this paragraph unless otherwise provided or indicated by the <br />context. <br />(a)“Project” means cleanup at the Tibyan Community Center project site located at 2401 <br />Lowry Avenue NE in the City of St. Anthony Village, Minnesota, consistent with the Project <br />description and eligible activities listed in Section 23 of the Grant Agreement. <br />(b)“Grant Funds” means the grant award from the County. <br />(c)“Grant Agreement” means that certain Environmental Response Fund Grant Agreement <br />between the County and the Grantee dated [___________], 20[__] (the “Grant Agreement”) <br />designated Grant No. PR00007636. <br />II.Subgrant Funds <br />2.01 Total Amount: The Grantee will disburse to Subgrantee a total sum of $136,250.00 in <br />funds from the Grant Funds. <br />2.02 Authorized Use of Funds: The Subgrantee will use the grant funds only for the Project and <br />eligible activities listed in Section 23 of the Grant Agreement. <br />51
