2 <br />4924-5086-4762\2 <br />III.Accounting, Audit and Reporting Requirements <br />3.01 Accounting and Records: The Subgrantee agrees to provide relevant and necessary <br />information to the Grantee to assist the Grantee in meeting the Grantee’s accounting and record- <br />keeping obligations relating to the receipt and expenditure of all grant funds received from the <br />County as described in the Grant Agreement. <br />3.02 Reporting: The Subgrantee agrees to provide relevant and necessary information to the <br />Grantee to assist the Grantee in meeting (i) any of the Grant Requirements under the Grant <br />Agreement or (ii) Grantee’s obligations to make written or annual reports to the County as <br />described in the Grant Agreement. <br />3.04 Insurance Requirements: The Subgrantee agrees to provide relevant and necessary <br />information to the Grantee to assist the Grantee in meeting its obligations relating to insurance as <br />described in the Grant Agreement. <br />IV.Agreement Term <br />4.01 Term: This agreement is effective upon execution by Grantee and Subgrantee. Unless <br />terminated pursuant to Paragraph 4.02 or extended by written request and confirmation pursuant <br />to this paragraph, this agreement will terminate when the Grantee has discharged its obligations <br />under Section III and Section V. <br />4.02 Termination: This agreement may be terminated by the Grantee or Subgrantee for cause at <br />any time upon fourteen (14) calendar days’ written notice to the other party. Cause shall mean a <br />material breach of this agreement, and any amendments of this agreement, and includes failure to <br />make reasonable and timely progress in performing and completing the mutual obligations the <br />parties have undertaken in this agreement. The parties shall have the right and obligation to cure <br />any and all defaults during the fourteen-day notice period without incurring penalty. <br />4.03 Amendments: The Grantee and Subgrantee may amend this agreement by mutual <br />agreement. Changes or modifications of this agreement shall be effective only in the execution <br />of written amendments signed by authorized representatives of the Grantee and Subgrantee. <br />V.Grant Disbursement <br />5.01 Written Request: The Grantee will make a written request for disbursement of funds, <br />together with any required supporting documentation or certifications, consistent with the <br />disbursement request provisions of the Grant Agreement and disbursement form provided by <br />County to the Grantee under the Grant Agreement. <br />5.02 Effect of Disbursement: Disbursement of funds to the Subgrantee neither implies any <br />Grantee responsibility for contamination of the project site nor imposes any obligations on the <br />Grantee for cleanup costs beyond whatever liability, if any, that might be found to exist under <br />statutory or common law. <br />52
