3 <br />4924-5086-4762\2 <br />V.General Provisions <br />6.01 Liability: The Subgrantee shall defend, indemnify and hold the Grantee harmless from <br />and against claims, damages, losses and expenses arising out of the undertaking of the Project. <br />Claims included in this indemnification include those asserted under the Minnesota <br />Environmental Response and Liability Act, the federal Comprehensive Environmental Response, <br />Compensation and Liability Act, and the federal Resource Conservation and Recovery Act. This <br />obligation shall not be construed to negate, abridge, or otherwise reduce any other right or <br />obligation of indemnity which otherwise would exist between the Grantee and Subgrantee. This <br />indemnification shall not be construed as a waiver on the part of the Grantee or Subgrantee of <br />any immunities or limits on liability provided by applicable state or federal law. <br />6.02 Warranty of Legal Capacity: The individual signing this agreement on behalf of the <br />Grantee and the individual signing this agreement on behalf of the Subgrantee warrant on the <br />respective party’s behalf that the individuals are duly authorized to execute this agreement on the <br />respective party’s behalf and that this agreement constitutes the Grantee’s and Subgrantee’s <br />valid, binding, and enforceable agreements. <br />6.03Required Provisions under Grant Agreement. <br />(a)The parties hereto agree as follows: <br />i.Neither Grantee nor Subgrantee is acting as agent(s) for the County of Hennepin, <br />State of Minnesota; <br />ii.The parties expressly agree that the County of Hennepin, State of Minnesota, is <br />not a party to this Subgrant Agreement; <br />iii.The County of Hennepin, State of Minnesota is not responsible or liable for any <br />duty or obligation under this Subgrant Agreement, including but not limited to <br />paying any amount whatsoever under the agreement; and <br />iv.Contractors shall comply with all applicable State and Federal laws and <br />regulations regarding employment and workplace safety. <br />(b)Subgrantee affirms that it has paid all Hennepin County personal property taxes <br />and property taxes due on all of its Hennepin County properties for all taxes owed on or <br />before the date of the execution of this agreement. <br />6.04Not a Business Subsidy. The funds provided under this agreement do not constitute a <br />business subsidy (as defined in Minnesota Statutes, Section 116J.993), as such funds are <br />being used for assistance for pollution control or abatement. <br />53
