connection with this Agreement. Accordingly, the Society agrees to provide for the <br />full coverage, defense, and indemnification of SAPD and its employees, officials, <br />representatives, and agents from all claims arising from or in any way related to the <br />provision of services under this Agreement, except for liability, claims, injury, <br />damages, costs, or expenses resulting from the sole negligence and/or intentional, <br />willful, or wanton acts SAPD employees, officials, representatives, and agents; <br />provided, however, that this provision shall not require the Society to indemnify <br />any individual or entity for any claims which are subject to a qualified and/or <br />official immunity defense, and/or for any claims for incidental, special, punitive, or <br />consequential damages. The Society further agrees to defend and indemnify SAPD <br />for any property damaged or lost in connection with this Agreement. As such, the <br />Parties agree that their liability shall be governed by Minnesota Statutes§ 471.59, <br />subd. la, Minnesota Statutes§ 3.732, and other applicable state and federal law. <br />Nothing contained in this Agreement shall waive or amend, nor be construed to <br />waive or amend, and defense or immunity that either party and their respective <br />officials and employees may have under Minnesota Statutes Chapter 466, or any <br />common-law immunity or limitation of liability. <br />Except for the exclusions and limitations listed in this Section of the Agreement, in <br />the event that SAPD or its employees, officials, representatives, or agents are sued <br />for any act or omission in connection with services provided pursuant to this <br />Agreement, SAPD will tender the defense of such lawsuit. SAPD reserves the right <br />to defend itself against any lawsuit or claim. <br />For purposes of determining total liability for damages, the Parties agree that they <br />are considered a single governmental unit under Minnesota Statutes§ 471.59, subd. <br />la(b). <br />8.STATE AUDITS <br />The parties agree to comply with Minn. Stat. §16C.05. <br />9.DATA PRACTICES <br /> All data collected, created, received, maintained, or disseminated for any purpose in the <br />course of either Party's performance of this Agreement are governed by the Minnesota <br />Government Data Practices Act, Minnesota Statutes Chapter 13, and any other applicable <br />statutes and rules. <br />34
