0 <br />documents deposited by Seller shall be immediately returned to Seller and neither party <br />will have any further rights or obligations regarding this Agreement or the Property. All <br />the contingencies in this Section 5 are specifically for the benefit of the Seller, and the <br />Seller shall have the right to waive any contingency in this Section 5 by written notice to <br />Buyer. <br />6. Closing. The closing of the purchase and sale contemplated by this Agreement (the <br />"Closing") shall occur on or before March 1, 2013 (the "Closing Date"). The Closing <br />shall take place at the office of Winthrop & Weinstine, P.A. in Minneapolis, Minnesota <br />or some other location mutually agreeable to Buyer and Seller. Seller agrees to deliver <br />possession of the Property to Buyer on the Closing Date. <br />Closing Documents. <br />7.1. Seller's Closing Documents. On the Closing Date, Seller shall execute and <br />deliver to Buyer the following (collectively, "Seller's Closing Documents"): <br />7.1.1. Deed. A Limited Warranty Deed conveying the Property to Buyer <br />("Deed"), free and clear of all encumbrances, except the Permitted <br />Encumbrances (hereafter defined) in the form of Exhibit 1) attached <br />hereto. <br />7.1.2. FIRPTA Affidavit. A non -foreign affidavit, properly executed, containing <br />such information as is required by IRC Section 1445(b)(2) and its <br />regulations. <br />7.1.3. IRS Forms. If applicable, a Designation Agreement designating the <br />"reporting person" for purposes of completing Internal Revenue Form <br />1099 and, if applicable, Internal Revenue Form 8594. <br />7.1.4. Well Certificate. If there are "Wells" on the Property within the meaning <br />of Minn. Stat. § 1031.235, a Well Certificate in the form required by law. <br />7.1.5. Storage Tanks. If the Property contains or contained a storage tank, an <br />affidavit with respect thereto, as required by Minn. Stat. § 116.48(6). <br />7.1.6. Individual Sewage Treatment Systems. If the Property contains an <br />individual sewage treatment system, a disclosure statement as required by <br />Minn. Stat. 6 115.55. <br />7.1.7. Closing Statement. A closing statement acceptable to Seller. <br />7.1.8. Other Documents. All other documents reasonably necessary and <br />appropriate to complete the Closing of the transaction contemplated <br />herein. <br />102 <br />
