15 <br />7.2. Buyer's Closing Documents. On the Closing Date, Buyer will execute and <br />deliver to Seller the following (collectively, "Buyer's Closing Documents"): <br />7.2.1. Purchase Price. Funds representing the balance of the Purchase Price, in <br />the form of immediately available U.S. funds by wire transfer. <br />7.2.2. IRS Form. If applicable, a Designation Agreement designating the <br />"reporting person" for purposes of completing Internal Revenue Form <br />1099 and, if applicable, Internal Revenue Form 8594. <br />7.2.3. Authority. Evidence of authority of the person or persons executing <br />documents on behalf of Buyer reasonably acceptable to Seller and the <br />Title Company. <br />7.2.4. Title Affidavits. Affidavits as may be customarily and reasonably <br />required by the Title Company. <br />7.2.5. Closing Statement. A closing statement acceptable to Buyer. <br />7.2.6. Certificate of Real Estate Value. A Certificate of Real Estate Value to be <br />filed with Ramsey County, Minnesota. <br />7.2.7. Other Documents. All other documents reasonably necessary and <br />appropriate to complete the Closing of the transaction contemplated <br />herein. <br />8. Prorations. Seller and Buyer agree to the following prorations and allocation of costs <br />regarding this Agreement: <br />8.1. Title Insurance and Closing Fee. Seller will pay all costs of the Title Evidence <br />(hereinafter defined). Buyer shall pay for its Title Policy (hereinafter defined), <br />including, without limitation, all premiums and costs of endorsements thereto, and <br />the fees charged by the Title Company for any escrow required regarding Buyer's <br />Objections. Seller and Buyer will each pay one-half of any closing fee or charge <br />imposed by any closing agent or by the Title Company. <br />8.2. Recording Costs. Buyer will pay the cost of recording any documents required to <br />be recorded by this Agreement, including, without limitation, the Deed. <br />8.3. Deed and Mortgage Taxes. Buyer shall pay all state deed tax payable in <br />connection with this transaction. Buyer shall pay all mortgage registry tax <br />payable in connection with Buyer's financing. <br />8.4. Real Estate Taxes and Special Assessments. All real estate taxes and special <br />assessments due and payable in the years prior to the year in which the Closing <br />-7- <br />
