W <br />"Commence Construction" and "Commencement of Construction" mean (a) the <br />building permit has been issued by the City for construction of the Minimum Improvements, and <br />(b) the Developer has demonstrated sufficient financing to Complete Construction of the <br />Minimum Improvements. <br />"Commencement Date" means the date on which the Developer Commences <br />Construction. <br />"Complete Construction" and "Completion of Construction" means the Developer has <br />received a Certificate of Completion for the Minimum Improvements. <br />"Completion Date" means the date on which the Certificate of Completion is executed <br />by the Authority Representative. <br />"Construction Costs" means the costs of the actual construction of the Minimum <br />Improvements, to be performed pursuant to the construction contract to be entered into by the <br />Developer and its contractor which shall include the costs of labor and materials; the building <br />permits and inspection fees, but shall specifically exclude the costs attributable to any payment <br />and performance bond. <br />"Construction Plans" means the plans, specifications, drawings and related documents <br />for the construction of the Minimum Improvements which shall be as detailed as the plans, <br />specifications, drawings and related documents which are submitted to the building inspector of <br />the City. <br />"County" means the County of Ramsey, Minnesota. <br />"Design Drawings" means the site plan, elevations and materials for the Minimum <br />Improvements attached to this Agreement as Exhibit B. <br />"Developer" means St. Anthony Leased Housing Associates II, Limited Partnership, a <br />Minnesota limited partnership, its successors or assigns. <br />"Developer Event of Default" means the occurrence of an Event of Default set forth in <br />Section 13.2. <br />"Development" means the Development Property and the Minimum Improvements. <br />"Development Pro Forma" means the pro forma prepared by Developer attached as <br />Exhibit E. <br />"Development Property" means the real property legally described in the attached <br />Exhibit A, and includes the Southern Parcel and the Northern Parcels. <br />"Equity" means cash contributed by a general partner or limited partner of the Developer <br />for the acquisition, rehabilitation, construction and operation of the Development. <br />"Event of Default' means any of the events described in Sections 13.2 and 13.3. <br />11 <br />
