Chapter 317A, and Section 51513.2-121(a) of MCIOA. The Master Association is a "master <br />association" as defined in MCIOA. <br />1.11 "Master Board" means the board of directors of the Master Association as <br />provided for in the Master Bylaws. <br />1.12 "Master Bylaws" means the bylaws governing the operation of the Master <br />Association, as amended from time to time. <br />1.13 "Master Common Elements" means all portions of the Property, or interests <br />therein, now or hereafter owned by the Master Association and intended for the common use and <br />enjoyment of the Owners and Occupants and their invitees. The Master Common Elements as of <br />the date of recording of this Master Declaration are described in Exhibit B. Exhibit B may be <br />amended to include additional Master Common Elements as authorized by Section 2.2, Section <br />2.3 and Section 13. <br />1.14 "Master Common Expenses" means all expenditures made or liabilities incurred <br />by or on behalf of the Master Association and incident to its operation. <br />1.15 "Master Declaration" means this Master Declaration and all exhibits hereto, as <br />amended from time to time. <br />1.16 "Master Developer" means OP5 Adelaide, LLC, a Minnesota limited liability <br />company, and any Person who, under the terms of this Master Declaration or by law, succeeds to <br />any Master Developer Rights. <br />1.17 "Master Developer Control Period" means the time period during which the <br />Master Developer has the exclusive right to appoint the members of the Master Board, as <br />described in Section 12.5. <br />1.18 "Master Developer Rights" means the exclusive rights reserved to the Master <br />Developer as described in Section 12 and as otherwise established by this Master Declaration or <br />MCIOA. <br />1.19 "Master Governing Documents" means this Master Declaration, and the Articles <br />of Incorporation and Master Bylaws of the Master Association, as amended from time to time, <br />all of which shall govern the use and operation of the Property. <br />1.20 "Master Rules" means rules of the Master Association, as approved from time to <br />time by the Master Board, which relate to the Master Association's operations, or the use or <br />operation of the Property. <br />1.21 "MCIOA" means the Minnesota Common Interest Ownership Act, Minnesota <br />Statutes Chapter 51513, as amended. <br />1.22 "Member" means each Neighborhood Association that is a member of the Master <br />Association as described in Section 3.4.
