8.2.1 Unless expressly otherwise agreed in writing with respect to a specific <br />application or Neighborhood, the Master Developer shall have exclusive authority to <br />review and act upon all applications for review of proposed Improvements until such <br />time as all Dwellings planned for the Property and Additional Property have been <br />completed and a certificate of occupancy has been issued for each. <br />8.2.1.1 The Master Developer may designate one or more persons to act <br />on its behalf in reviewing any application. <br />8.2.1.2 In reviewing and acting upon any request for approval, the <br />Master Developer or its designee may act solely in the Master Developer's <br />interest and owe no duty to any other Person. <br />8.2.1.3 From time to time, the Master Developer may, but is not <br />obligated to, delegate any or all of its authority under this Section to other Persons <br />or committees, including any committee appointed pursuant to Section 8.2.2. <br />8.2.1.4 Any delegation of authority shall be in writing, shall specify the <br />scope or responsibilities delegated, and shall be subject to (i) the Master <br />Developer's right to revoke such delegation at any time and reassume its prior <br />control, and (ii) the Master Developer's right to veto any decision which it <br />determines, in its discretion, to be inappropriate or inadvisable. <br />8.2.1.5 So long as the Master Developer has any authority under this <br />Section, the jurisdiction of others shall be limited to such matters as the Master <br />Developer specifically delegates. <br />8.2.2 Upon the Master Developer's delegation of authority pursuant to <br />Section 8.2.1, or upon expiration of the Master Developer's rights under this Section 8, <br />the Master Board shall appoint a Design Review Committee to assume jurisdiction over <br />matters within the scope of the delegated authority or this Section, respectively. <br />8.2.2.1 The Design Review Committee shall be a permanent committee of <br />the Master Association, and shall administer and perform the architectural and <br />landscape review and control functions of the Master Association. <br />8.2.2.2 The Master Board shall (i) determine how many persons shall <br />serve on the Design Review Committee; (ii) set reasonable terms of office for the <br />members of the Design Review Committee; and (iii) determine which member of <br />the Design Review Committee will serve as its chair. Meetings of the Design <br />Review Committee may be called at the discretion of the chair, and shall be called <br />by the chair upon the request of a majority of the members. <br />8.2.2.3 A majority of the Design Review Committee shall constitute a <br />quorum to transact business at any Design Review Committee meeting, and the <br />action of a majority of those members present and voting shall constitute the <br />action of the Design Review Committee. <br />22 <br />2190398.v1 <br />
