The spouse of one of our Municipal Advisor Representatives is Parks Planner for the City. The Parks Planner works to plan and develop new park facilities. In this role the Parks Planner is likely to work in conjunction with the Finance Director to provide the City Council with an understanding of the means for funding these park improvements, which may include the issuance of debt as a funding mechanism. In either situation above, the potential exists that recommendations could be made that would result in Springsted's services being engaged. Springsted will manage and mitigate these potential conflicts of interest by this disclosure of relationships, having our Municipal Advisor Representative refrain from voting on any resolution or recommendation which may result in the engagement of Springsted services and adherence to Springsted's fiduciary duty and fair dealings obligation to the City. No additional conflicts of interest have been identified by Springsted. To the extent any such material conflicts of interest arise after the date of this disclosure document, Springsted will provide information with respect to such conflicts in the form of a supplement to this disclosure.
