BYLAWS OF HOPKINS SCHOOLHOUSE AND HERITAGE CENTER <br />This instrument constitutes the Bylaws of HOPKINS SCHOOLHOUSE AND HERITAGE CENTER (the <br />“Corporation”) for the purpose of regulating and managing the internal affairs of the Corporation. <br />ARTICLE I <br />NAME AND PURPOSE <br />Section 1.1 The name of this Corporation shall be HOPKINS SCHOOLHOUSE AND HERITAGE <br />CENTER. It shall be a nonprofit organization incorporated under the laws of the State of Minnesota. <br />Section 1.2 HOPKINS SCHOOLHOUSE AND HERITAGE CENTER is organized exclusively for <br />charitable, religious, scientific and educational purposes. The purpose of this Corporation is promoting <br />community engagement and leadership by honoring the heritage of Hugo, Forest Lake, and the <br />surrounding area, highlighting historic examples of citizens who made a difference in the community, and <br />offering a place for community members to gather. <br />ARTICLE II <br />CORPORATE SEAL <br />Section 2. The Corporation shall not have a seal. <br />ARTICLE III <br />MEMBERS <br />Section 3. Membership shall consist of the Board of Directors. <br />ARTICLE IV <br />BOARD OF DIRECTORS <br />Section 4.1 General Purposes. The business and affairs of the Corporation shall be managed by or <br />under the direction of a Board of Directors (“Board”). The Board is responsible for overall policy and <br />direction of the Corporation and delegates responsibility of day-to-day operations to the staff and <br />committees. <br />Section 4.2. Number of Directors, Appointment. The Board shall have up to fifteen (15) but not fewer <br />than three (3) voting members, including two voting ex officio directors. Except for the ex officio <br />directors, the members of the Board shall be elected by the Board. The Board receives no compensation <br />other than reasonable expenses. <br />(a)Student Director. One student representative may be elected by the Board. The Student Board <br />member must be a minimum age of sixteen (16) and a student of a surrounding area High School, <br />be in good standing with such High School, and attend at least 75% of the Board meetings. <br />(b)Ex Officio Directors. The President of the Forest Lake Historical Society and an appointed <br />representative of the Hugo Historical Commission shall serve as ex officio voting members of the <br />Board. <br />Section 4.2 Directors shall serve for a term of three (3) years each and shall be so elected that <br />approximately one-third (1/3) of the directors within each group of directors is elected each year. The <br />student term is a one-year term and can be renewed. Directors terms shall expire at the Annual Meeting in <br />Attachment 4
