DRAFT – FOR DISCUSSION ONLY. <br />2 <br /> <br />14669 Fitzgerald Avenue North <br />Hugo, MN 55038 <br /> <br />The authorized agent of the Nonprofit once formed, shall be the President of the <br />Nonprofit for the purposes of this Agreement. <br /> <br />The authorized agent of the City for the purpose of this agreement is the City <br />Administrator. Any and all notices, reports, or other submissions to the City shall be <br />made to them or their successor, and any City approvals shall come from this individual <br />or their successor at the following address. <br />Bryan Bear <br />City Administrator <br />City of Hugo <br />14669 Fitzgerald Avenue North <br />Hugo, MN 55038 <br /> <br />3. The Society/Nonprofit shall be responsible for the operation, maintenance, interpretation, <br />and other expenses of restoring and operating the Site, including the hiring, training, and <br />supervision of any paid or volunteer staff or contractors necessary to fulfill the terms of <br />this agreement. It is hereby expressly understood that any staff or contractors, so hired, <br />trained, or supervised shall be employed/contracted by the Society/Nonprofit, not the <br />City. <br /> <br />In general, the Society/Nonprofit, shall administer, develop, and maintain the premises <br />with reference to this Agreement. More specifically, the Society/Nonprofit shall assume <br />regular operational responsibilities for the Site, including but not limited to, the following <br />tasks: <br />a. Procuring additional funds necessary to restore the Site and allowing the <br />Society/Nonprofit to receive donations on behalf of the schoolhouse restoration <br />project. <br />b. Ensuring all volunteers participating in construction projects sign a waiver of <br />liability that indemnifies and holds harmless the Society, the Nonprofit, and the <br />City, as provided in Exhibit B. <br />c. Securing the appropriate permits for each component of the restoration project <br />and ensuring compliance with corresponding requirements. <br />d. Ensuring that all aspects of the restoration and use of the building and/or property <br />are in alignment with the established City zoning code rules, and that appropriate <br />processes are followed to secure approvals for any proposed uses that are not <br />aligned with the zoning code. <br />e. Ensuring that contractors engaged for restoration projects meet City requirements, <br />including: <br />i. Contractor(s) shall be licensed and insured. <br />ii. Contractor(s) shall not place any liens on the Site or property.
