The failure to refer to the <br /> Offering in any specific provisions of this Franchise shall <br /> not be a limitation on the obligation of Grantee to comply <br /> fully with the Offering. Grantee further acknowledges that <br /> all promises , offers , representations and inducement <br /> contained in the Offering of Grantee were freely and <br /> voluntarily made to City by Grantee. <br /> C . A copy of the Offering shall be permanently kept and filed in <br /> the Office of the City Administrator and reproductions <br /> thereof shall be available for inspection by the public <br /> during normal business hours . <br /> D. In the event of conflicts or discrepancies between any part <br /> of the Offering and the provisions of this Franchise or <br /> between any part of the summary made by Grantee and the <br /> Offering, the Grantee and City shall promptly meet and confer <br /> in good faith to resolve the conflict or discrepancy. <br /> E . Grantee shall have continuing responsibility for this <br /> Franchise, and if Grantee be a subsidiary or wholly-owned <br /> corporate entity of a parent corporation, performance of this <br /> Franchise shall be secured by guarantees of the parent <br /> corporation in a form and substance acceptable to City, which <br /> shall be delivered at time of, and as part of, acceptance of <br /> this Franchise. <br /> F. With its acceptance, Grantee shall also deliver to City an <br /> opinion from its legal counsel , acceptable to City, stating <br /> that this Franchise has been duly accepted by Grantee, that <br /> 66 <br />
