sufficient to evidence in proper detail the nature and propriety of the expenditures.
<br />Accounting methods shall be in accordance with generally accepted accounting
<br />principles.
<br />GRANTEE agrees that Ramsey County, the HRA, the State Auditor, or any of their duly
<br />authorized representatives at any time during normal business hours, and as often as they
<br />may reasonably deem necessary, shall have access to and the right to examine, audit,
<br />excerpt, and transcribe any books, documents, papers, records, etc., which are pertinent to
<br />its accounting practices and procedures and involve transactions relating to this
<br />Agreement. Such materials shall be maintained and such access and rights shall be in
<br />force and effect during the period of the Agreement and for six (6) years after its
<br />temination or cancellation.
<br />5. Independent Contractor
<br />It is agreed that nothing contained in this Agreement is intended or should be construed
<br />as creating the relationship of agents, partners, joint ventures, or associates between the
<br />parties hereto or as constituting GRANTEE as the employee of Ramsey County or the
<br />HRA for any purpose or in any manner whatsoever. GRANTEE is an independent
<br />contractor and neither it, its employees, agents nor representatives are employees of
<br />Ramsey County or the HRA. From any amounts due the GRANTEE, there will be no
<br />deductions for federal income tax or FICA payments, nor for any state income tax, nor
<br />for any other purposes, which are associated with an employer - employee relationship
<br />unless required by law. Payment of federal income tax, FICA payments, and state
<br />income tax are the responsibility of the GRANTEE.
<br />6. Indemnification
<br />GRANTEE shall indemnify, hold harmless, and defend Ramsey County, the HRA, their
<br />officials, employees and agents from any and all liability, loss, costs, damages, expenses,
<br />claims or actions, including attorney's fees, which Ramsey County, the HRA, their
<br />officials, employees, and agents may hereafter sustain, incur or be required to pay, arising
<br />out of or by reason of any act or omission of the GRANTEE, its agents or employees, in
<br />the execution, performance, or failure to adequately perform the GRANTEE's obligations
<br />pursuant to this Agreement.
<br />7. Insurance
<br />a. GRANTEE shall purchase and maintain such insurance as will protect it from claims
<br />which may arise out of, or result from, its operations under this Agreement, whether
<br />such operations are by the GRANTEE or by any subcontractor, or by anyone directly
<br />employed by them, or by anyone for whose acts or omissions anyone of them may
<br />be liable. These requirements may be satisfied by a certified self - insurance program.
<br />b. GRANTEE shall secure the following coverages and comply with all provisions
<br />noted.
