8. Building Official, its officers, agents, and employees do not assume any liability for any <br />negligent or intentional acts of City or any of its officers, agents, or employees. City shall indemnify and <br />defend Building Official, its officers, agents, or employees against and hold Building Official, its <br />officers, agents, or employees harmless from any claims, causes of action, damages, loss, cost or <br />expense resulting from or related to the actions of City, its officers, agents, or employees in the <br />performance of this Agreement. <br />9. It is understood that enforcement and administration of the Minnesota State Building Code is <br />a public service and is of necessity limited in nature. Consequently, building permits and the subsequent <br />building inspections are not to be construed or relied upon as any type of warranty, guarantee, or <br />representation on the part of the Building Official that the plans, construction, or finished project are <br />necessarily in conformance with the provisions of the Minnesota State Building Code or other <br />application construction standards. <br />10. It is understood that this Agreement contains the entire agreement between City and <br />Building Official and that no statement, promise, or inducements have been made to any party hereto, or <br />any officer, agent, or employee of either party hereto which is not contained within this written <br />Agreement. This Agreement may not be enlarged, modified, or altered except in writing signed by the <br />parties and endorsed herein. It is expressly understood between the parties hereto and this <br />understanding should be considered in interpreting the provisions of this Agreement, that upon notice <br />given by any party hereto, later negotiations may be undertaken for the purpose of revising, adding to or <br />striking any provision or provisions of this Agreement which appear unworkable or insufficient to <br />perfect, maintain, and ensure the purpose of this Agreement. Any change to the original provisions of <br />this Agreement mutually acceptable to both parties shall be written and attached to this Agreement as <br />provided above and any such revision, addition, or deletion shall only apply to the provision so revised, <br />added, or deleted and the remainder of this Agreement shall remain in full force and effect. <br />V. EFFECTIVE AND TERMINATION DATES <br />1. Effective Date. This Agreement shall be effective as of the date set forth in the first <br />paragraph hereof and shall continue in full force and effect until terminated pursuant to paragraph V.2. <br />2. Termination This Agreement shall continue in full force and effect unless either party gives <br />sixty (120) days written notice of cancellation.
