3.4 Officers <br />The Commission shall annually elect from its membership a chair and <br />vice -chair and.•such other officers as it deems necessary to carry out <br />the purposes of this agreement. An officer may service indefinitely. A <br />vacancy in an office shall be filled from the membership of the <br />Commission, by election. In the absence of an officer, his or her <br />alternate shall exercise only the power of a commissioner and not of <br />said office position. <br />3.5 Quorum <br />Fifty percent of the total number of participating commissioners <br />shall constitute a quorum. A quorum is required to convene a scheduled <br />meeting but less than a quorum may adjourn a scheduled meeting but less <br />than a quorum may adjourn a scheduled meeting. <br />3.6 Meetings <br />Regular meeting of the Commission shall be held at such times as the <br />Commission shall select. <br />3.7 Votes <br />Any action taken by the Commission shall be by majority vote of the <br />commissioners in attendance. <br />3.8 Commission Staffing <br />a. The Commission may be staffed by a staff person employed by one <br />of the participating communities or by an LSS staff member. If <br />staffed by an employee of a participating community, a LSS home - <br />share program staff member shall report to the commission staff as <br />necessary to satisfy the objectives of the program. Out -of- pocket <br />expenses, including legal fees, that are incurred by the <br />commission's staff person, while performing commission duties may be <br />reimbursed to the extent covered by program income collected, <br />subject to the Commission's approval. The staff person may rotate <br />among the parties to this agreement, as they mutually agree. <br />b. The Pilot Program Steering Commission shall recommend to the <br />participating communities the staff person to be selected. <br />Selection shall be mutually agreed to by the communities. Said <br />selection should occur on or before December 31, 1988. The pilot <br />program steering commission staff shall oversee the organization of <br />the Commission until the staff selection process is completed. <br />3.9 Expansion of Participating Communities <br />Any suburban St. Paul community, not a party to this agreement, may <br />become a party to the agreement upon majority vote of the Commission. <br />The Commission may require a fair -share contribution (see Section 4.1) <br />as a condition of permitting a community to join the agreement. <br />Page 61 <br />
