II. SPECIFIC SCOPE OF SERVICES <br />A. The District and the City agree that it is mutually beneficial to jointly undertake the Study. <br />1. Specific Tasks Involved. The scope of work will include the specific tasks described in the proposal <br />provided to the City by WSB & Associate, Inc., dated February 24, 2022, found at Attachment B <br />to this Agreement (the "Study"). <br />2. Scheduling. All work necessary to carry out the scope of work shall be completed no later than <br />December 31, 2022. <br />B. District Responsibilities. The District agrees to: <br />1. Provide to the City existing reports, surveys, data, and/or models for the Study area and <br />contributing watershed, pursuant to standard licensing as applicable. <br />2. Participate in all meetings associated with the Study. <br />3. Make available its staff to serve as advisors to the Study team. <br />4. Reimburse the City for a part of the contracted cost of the Study, in an amount equal to 50% of <br />the cost, not to exceed ten thousand nine hundred sixty-two and 50/100ths dollars ($10,962.50), <br />upon District acceptance of the Study's final report content, which will not be unreasonably <br />withheld. <br />C. City Responsibilities. The City agrees to: <br />1. Contract for and manage the necessary professional services to support the Study and the <br />completion of tasks and subtasks identified in Section II.A.1. <br />2. Participate in all meetings associated with the Study. <br />3. Make available its staff to serve as advisors to the Study team. <br />4. Provide any/all drafts of the Study report to the District for review and comment, including the <br />final draft of the Study report for District approval. <br />5. Assume any additional costs required to complete the Study beyond the District contribution <br />described in Section II.13.4., above. <br />D. ELIGIBLE COSTS; COMPENSATION; METHOD OF PAYMENT <br />A. Eligible costs under this Agreement are limited to the cost of the proposal identified in Section II.A.1 <br />("Eligible Costs"). <br />B. Upon the District's acceptance of the Study final report content, and within 30 days of receipt of an <br />invoice and supporting documentation of Eligible Costs incurred, the District will reimburse the City <br />for its share of costs incurred for the completion of the Study as identified in Section 11.13.4. <br />0A <br />
