3. Upon execution of the Relocation Agreement, The City will pay NSP 80% of the <br />estimated cost of relocating NSP's facilities; the estimated cost is $21,000., (80% = <br />$16,800.); <br />4. Upon completion of the relocation project, NSP will furnish The City two itemized <br />statements of the actual cost of relocating said facilities. The City will pay NSP any <br />excess of the actual costs over the 80% deposit received by NSP. Should the <br />initial 80% exceed the cost, any overpayment will be refunded to The City. <br />5. NSP will relocate its transmission line in coordination with CR84 construction, <br />subject to allowances of extra time for strikessor unforeseen delays in delivery of <br />necessary materials, or other unforeseen contingencies, or because of NSP's need <br />to transfer electrical energy without interruption. <br />6. The City will indemnify and hold NSP harmless from and against all claims, <br />damages, liabilities, costs and expenses (including attorney's fees) arising in <br />connection with the relocation except such claims, liabilities, costs and <br />expenses (including attorney's fees) caused by the negligence of Northern States <br />Power Company. <br />After execution of the Relocation Agreement and the receipt of $16,800., NSP will <br />proceed with the actual field construction as soon as possible and in a timely manner. <br />IN WITNESS WHEREOF, the parties hereto have caused these presents to be duly <br />executed as of this day of , 1997. <br />WITNESS: <br />By <br />Its <br />WITNESS: NORTHERN STATES POWER COMPANY <br />.
