of the cost of the setup, take down and/or custodial service for that event. <br /> 20. Make every effort to keep the Facility open for use at all times, by giving the City prompt <br /> notice of any maintenance issues, by working with the City to schedule maintenance and <br /> repairs at times that will cause the least disruption to the operations at the Facility, and to <br /> monitor renters to ensure that they do not perform acts that will disrupt future activities at <br /> the Facility. <br /> 21. Operate and manage the Facility in accordance with all federal, state, and local laws, <br /> regulations, ordinances, and City policies. Images will obtain all permits, licenses, and <br /> certifications necessary to ensure compliance with all federal, state and local laws, <br /> regulations and ordinances provided, however,that the City will pay for all general <br /> permits, licences and certificates necessary for operating a banquet facility. <br /> 22. Affirms, that to the best of its knowledge, its involvement in this Agreement does not <br /> result in a conflict of interest with any party or entity which may be affected by the terms <br /> of this Agreement. Images agrees that, should any conflict or potential conflict of interest <br /> become known, Images will immediately notify the City of the conflict or potential <br /> conflict. <br /> B. The City's Duties and Responsibilities. The City agrees to provide the resources to <br /> maintain the Facility and associated equipment. In addition, the City agrees to do the following: <br /> 1. Maintain liability insurance in accordance with limits established by Minnesota statutes. <br /> 2. Establish an advisory committee to make recommendations to the City Council regarding <br /> operations at the Facility. The committee will be comprised of an Images' representative, <br /> the City Clerk-Administrator, City Finance Director, two City Council members or <br /> appointees, and the manager of the Center. <br /> 3. To permit Images to use specialized equipment owned by the City for special projects at <br /> the Facility, provided that such equipment is available and Images provides adequate <br /> advanced notice for scheduling of such equipment. In addition, the City shall provide the <br /> following equipment at the Facility or City Hall for day to day use by Images: <br /> a. Desk from which to conduct day to day operations; <br /> b. Phone line, voice mail and equipment, including reasonable long distance charges <br /> for business related phone calls; <br /> c. Use of City office equipment for Facility business, including, but not limited to <br /> photocopy and fax machine; <br /> d. Computer and printer with reservation/scheduling software; and <br /> e. City developed logo for the Community Center and letterhead. <br /> Page 5 <br />
