(b) Provide adequate working space within reasonable cistance of the ^ <br />Equipment for use by MASYS Service personnel in providing service <br />hereunder. <br />(c) Provide full and immediate access to the Equipment for MAfYS Service <br />personnel (subject to Customer's reasonable rules relating to <br />security). Failure to obtain access which results in excessive <br />expenditures of time and unnecessary travel expenses will result <br />in additional charges billed at the then current MASYS rates. <br />(d) Properly render routine customer attention to the Equipment (e.g., <br />proper loading of paper, ribbons, disk packs, filters, etc.) as <br />additionally defined in applicable Operator's Manual. <br />(e) Be responsible for service cells as a result of Customer misuse <br />of the equipment, customer interfaces of peripheral equipment, <br />Cperatcr error, rnlephpgp equipment problems, fire, accident, <br />use of improper supplies (including thermal paper), cassettes <br />or other cause beyond normal usage of the equipment, or failure <br />of equipment not covered by this Agreement will be billed by <br />MASYS at the then current service rates. <br />9. LOCATION OF EQUIPMENT. a:axeiance strvices covered by this Agreement <br />shall be rendered at the respective installation locations specified, unless <br />prior written consent to any relocation of Equipment is obtained from HASYS. <br />Customer understands that -the total annual charge for maintenance service <br />under this Agreement does not include charges associated with relocation <br />and reinstallation of any item of Equipment and related retraining service. <br />10. TERMINATION. This Agreement is automatically renewed for one year increments ' <br />until terminated by either party on 90 days prior written notice to any <br />annual expiration date of this Agreement period. In addition, MASYS shall <br />have the immediate right to terminate this Agreement. <br />(a) If the Customer defaults in any payment of monies due hereunder. <br />(b) If the Customer fails to allow preventive maintenance. <br />(c) If, in the opinion of Ma Sys, it becomes impractical to perform <br />maintenance because of alterations, additions, or modifications. <br />made by -the customer or his 'agent in the system configuration and <br />any of its connections. <br />11. LIMITATION OF LIABILITY; AND REMEDY; EXCLUSIONS FROM COVERAGE. MASYS and <br />MASYS Service Representatives shall not be liable for any damages to the <br />Equipment or otherwise from any cause beyond the respective control of MASYS <br />and/or HASYS Service Representatives, nor shall they be liable in any event <br />for loss of use, indirect, incidental or consequential damages. The <br />maintenance services to be provided hereunder do not include travel, labor, <br />or parts necessary to repair damage to the Equipment caused by fire, accident, <br />abuse, Custcmer's negligence, power line fluctuations, conductive materials <br />or water entering the Equipment, acts of third persons or persons not <br />authorized by MP.SYS to service the Equipment, or any force of nature, nor do <br />such services include travel, labor or parts necessary for the recreation or <br />reacquisition of data lost for any reason whatsoever. Any repairs resulting 6 <br />from such causes or events wili be rendered by HASYS Service Representatives _ <br />only at Customer's request and after approval by the Customer of the estimated <br />cost thereof. <br />PAGE 4 of 6 <br />
