• additional consideration the balance of the <br /> real property covered by the Purchase <br /> Agreement which is not a part of the Subject <br /> Premises. <br /> 4 . Walker and the Redeveloper shall take <br /> immediate steps to negotiate, draft and enter <br /> into a supplemental agreement ( " the <br /> Supplemental Agreement " ) wherein the <br /> Redeveloper and Walker will agree to the <br /> scope , use , location and costs and to pay <br /> certain costs associated with the development <br /> of the property conveyed to the Redeveloper <br /> pursuant to subparagraph 3 . , above. Walker <br /> and the Redeveloper , upon the execution of <br /> this Agreement , shall undertake to draft the <br /> Supplemental Agreement upon terms and <br /> conditions mutually agreeable to Walker and <br /> the Redeveloper and complete the same on or <br /> before June 1 , 1984 . The Supplemental <br /> Agreement shall provide for the following: <br /> ( a ) Walker and the Redeveloper <br /> shall pay, on a pro-rata basis, the <br /> • costs of road construction , <br /> maintenance and landscaping of that <br /> tract of land to be conveyed <br /> pursuant to subparagraph d . 3 . of <br /> t h i s S e c t i o n 2 . 3 . , b u t <br /> Redeveloper ' s share thereof shall <br /> not be due and payable until the <br /> balance of Phase II is conveyed in <br /> fee simple to the Redeveloper and <br /> Walker 's share thereof shall not be <br /> due and payable until the Subject <br /> Premises are conveyed in fee simple <br /> to Walker . <br /> ( b ) In determining the pro-rata <br /> share to be borne by Walker and the <br /> Redeveloper , all costs of road <br /> c o n-s-t-r-u-c-t-i-o-n-, m a-i-n-t-e-n.a-n-c-e—a n-d--- -- — <br /> landscaping of the above tract of <br /> land shall be determined and said <br /> sum shall be divided by the total <br /> number of units to be developed in <br /> Phases II and III of the <br /> Redevelopment Property. The result <br /> of this division will be a per unit <br /> share of such costs. Walker shall <br /> • be responsible for such per unit <br /> -7- <br />
