<br /> 1 <br /> <br /> <br /> <br />STATE OF MINNESOTA <br /> GRANT CONTRACT AGREEMENT <br /> <br /> <br /> SWIFT Contract Number: 291019 <br /> AI: 89863 <br /> Actfvity ID: PRO20260001 <br /> <br />This Grant Contract Agreement is between the state of Minnesota, actfng through its Department of the Minnesota <br />Pollution Control Agency, 520 Lafayette Road North, St. Paul, MN 55155 (“MPCA” or “State”), and City of Saint Anthony <br />Village, 3301 Silver Lake Road NE, Saint Anthony, MN 55418 ("Grantee"). <br /> <br />Recitals <br />1. Under Minnesota Statutes § 116.03, Subd. 2, the State is empowered to enter into this grant. <br />2. The State is in need of the Electric Vehicle (EV) Charging Stations at Silver Lake Village (“project”). <br /> <br />3. The Grantee represents that it is duly qualified and agrees to perform all services described in this Grant Contract <br />Agreement to the satfsfactfon of the State. <br /> <br />Grant Contract Agreement <br />1. Term of Grant Contract Agreement <br />1.1 Effective date: June 15, 2026, or the date the State obtains all required signatures, whichever is later. <br />Per Minnesota Statutes § 16B.98, Subd. 5, the Grantee must not begin work untfl this Grant Contract <br />Agreement is fully executed and the State's Authorized Representatfve has notffied the Grantee that work may <br />commence. <br />Per Minnesota Statutes § 16B.98 Subd. 7, no payments will be made to the Grantee untfl this Grant Contract <br />Agreement is fully executed. <br />1.2 Expiration date: June 30, 2027, or untfl all obligatfons have been satfsfactorily fulfilled, whichever occurs first. <br />1.3 Survival of terms. The following clauses survive the expiratfon or cancellatfon of this Grant Contract Agreement: <br />Liability; State Audits; Government Data Practfces and Intellectual Property; Publicity and Endorsement; <br />Governing Law, Jurisdictfon, and Venue; and Data Disclosure. <br />2. Grantees Duties <br />The partfes will perform the services outlined in Attachment A, which is attached and incorporated into this <br />agreement. <br />3. Time <br />The Grantee must comply with all the tfme requirements described in this Grant Contract Agreement. In the <br />performance of this Grant Contract Agreement, tfme is of the essence and failure to meet a deadline date may be a <br />basis for a determinatfon by the State’s Authorized Representatfve that the Grantee has not complied with the terms
